Your opportunity
We currently have a great opportunity for a Corporate Lawyer to join the NRMA’s Group Legal team on a full-time permanent basis.
The role offers the flexibility to work from home and across our Sydney CBD and/or other offices as agreed and required for the role.
In this role you will deliver timely and relevant legal advice and services to support the Corporate strategy and goals, manage legal risks and educate NRMA staff on their legal obligations.
Your key responsibilities will include:
- Advising on mergers and acquisitions (M&A) transactions, including drafting, reviewing and negotiating initial phase documents (confidentiality agreements, adviser engagement letters, term sheets and exclusivity undertakings etc), overseeing or conducting due diligence, reviewing and negotiating business sale and share sale acquisitions and disposals, crafting appropriate representations, warranties and indemnities and, where NRMA is the purchaser, advising on risk mitigation strategies such as warranty and indemnity insurance
- Advising on equity investments and disposals, including reviewing and negotiating shareholders’ agreements
- Advising on other commercial arrangements such as alliances, joint ventures and franchises
- Advising on corporations law and corporate governance matters
- Advising on matters relating to investigations, incidents and risk across the NRMA Group
- Providing legal support to the NRMA Parks & Lodges business unit, including advising on park acquisitions, management agreements, long-term leases, competition and consumer law issues and various compliance matters
- Drafting, reviewing and negotiating a wide range of other commercial agreements
- Developing training programmes and policies and procedures
About You
- Tertiary qualification of LLB or equivalent
- Admitted as a solicitor in one or more states in Australia and holding a current practising certificate (restricted or unrestricted)
- Four to ten years’ experience as a solicitor with a top tier or mid-tier law firm in mergers and acquisitions and general commercial practice
- Solid experience in corporate governance
- Experience of corporate investigations and incidents and related laws such as whistleblowing, employment practices and work health and safety (desirable not essential)
- Experience of working in an in-house legal team (desirable not essential)
- Experience in competition and consumer law, franchising law, legal disputes, employment law, privacy law, ICT & intellectual property law and/or property law (desirable not essential)
- Excellent commercial acumen, including a deep understanding of the commercial context in which legal advice is sought, and an ability to provide strategic legal advice and pragmatic solutions that promote the achievement of an organisation’s strategic goals
- Excellent written and verbal communication skills with the ability to influence & negotiate to reach agreeable outcomes
- Excellent at responding flexibly and positively to changing and competing priorities in a complex environment
- High level of attention to detail
